Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Vyntro AI ("Vyntro", "we", "us"), with registered office in Muzaffargarh, Punjab, Pakistan. They govern your access to and use of vyntro.ai, our APIs, and related services (collectively, the "Service"). Please read them carefully. If you do not agree, do not use the Service.

1. Acceptance & Eligibility

• You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service.
• If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
• You must not be barred from using the Service under the laws of Pakistan, your country of residence, or any applicable sanctions regime.

2. Your Account

• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• Notify us immediately at security@vyntro.ai of any unauthorised use.
• One person or legal entity per account. Sharing accounts is prohibited.
• We may suspend or terminate accounts that violate these Terms, with notice when reasonable.

3. The Service

Vyntro AI lets you generate user-interface designs, HTML, and related code from natural-language prompts using third-party AI models. The Service is provided on an evolving basis — features may be added, changed, or removed. We will give reasonable notice of material changes to paid features.

4. Acceptable Use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right (including IP, privacy, and consumer-protection laws).
• Generate content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, or that incites violence.
• Create malware, phishing pages, scam sites, or content designed to deceive users about identity or intent.
• Attempt to bypass authentication, rate limits, credit metering, or any security feature.
• Reverse-engineer, decompile, or scrape the Service (other than via documented APIs and within published limits).
• Resell raw access to underlying AI providers, or repackage the Service as a competing product, without our written consent.
• Submit personal data of others without lawful basis, or upload content you do not have rights to.
• Generate content that infringes copyright, trademark, or trade-secret rights of third parties.

We may, at our sole discretion, remove content, suspend access, or terminate accounts that violate this section.

5. Credits, Plans & Subscriptions

• Credits are units consumed by AI generations. Different models consume different amounts; current rates are shown in the app.
• Free plan users receive up to 5 daily credits, refreshed every 24 hours on Pakistan Standard Time (PST, UTC+5), with a monthly cap of 30 credits. Unused daily credits do not stack.
• Paid plans grant monthly credit allowances which expire at the end of each billing cycle unless your plan explicitly states otherwise.
• Top-up credits (one-time purchases) do not expire as long as your account remains active.
• Credits are non-refundable once consumed by a generation, except where required by law or where the generation failed due to a verified service fault.

6. Billing, Payments & Refunds

• Subscriptions auto-renew at the end of each billing cycle unless cancelled at least 24 hours before the renewal date.
• Accepted methods include JazzCash, EasyPaisa, and local Pakistani bank transfer. All transactions are processed in PKR.
• Payment proofs are reviewed within 24 business hours; credits are added to your account after verification.
• Refund policy: unused, unconsumed monthly credits and accidental duplicate charges are refundable within 14 days of purchase. Consumed credits and partial-month usage are non-refundable.
• To request a refund, email billing@vyntro.ai with your transaction reference.

7. AI-Generated Content & Ownership

• You retain ownership of the prompts and attachments you submit.
• To the extent permitted by law, you own the AI-generated output produced from your prompts. You grant Vyntro a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display the output for the purpose of providing and improving the Service.
• You acknowledge that AI outputs are probabilistic. Similar prompts may produce similar outputs for other users; we cannot guarantee uniqueness, originality, accuracy, or non-infringement.
• You are solely responsible for reviewing, validating, and securing the rights to use any AI output before deploying or publishing it.
• Underlying AI provider terms (Google, OpenAI, Anthropic) also apply to the output you generate through their models.

8. Intellectual Property

The Vyntro name, logo, design system, brand assets, software, and all underlying technology are owned by Vyntro AI and protected by intellectual-property laws. You receive a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose. Nothing in these Terms transfers any IP ownership.

9. Third-Party Services

The Service integrates with third parties (cloud hosting, AI providers, payment processors). Their terms and privacy policies apply to those portions of the Service. We are not responsible for their availability, accuracy, or actions.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Vyntro disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that AI outputs will be correct, complete, lawful, or suitable for any particular use.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Vyntro shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill.
• Vyntro's aggregate liability arising out of or related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD 100.
• Nothing in these Terms limits liability that cannot be excluded by law (e.g. for fraud, wilful misconduct, or death/personal injury caused by negligence).

12. Indemnification

You agree to defend, indemnify, and hold harmless Vyntro, its affiliates, officers, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) content you submit or generate.

13. Termination

• By you: you may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing cycle.
• By us: we may suspend or terminate access immediately for material breach (including any violation of Section 4), non-payment, or as required by law. We will provide reasonable notice where feasible.
• Upon termination, your right to use the Service ends. Sections that by their nature survive termination (e.g. ownership, liability, indemnification, dispute resolution) remain in effect.

14. Force Majeure

Neither party is liable for failure to perform due to causes beyond reasonable control, including acts of God, war, terrorism, civil disturbance, internet outages, AI provider outages, government action, or pandemic.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws principles. The exclusive courts of Muzaffargarh, Punjab, Pakistan shall have jurisdiction over any dispute, except where mandatory consumer-protection law in your country requires otherwise.

16. Dispute Resolution

Before initiating formal proceedings, the parties agree to attempt good-faith resolution via written notice and a 30-day cooling-off period. Where the dispute remains unresolved, it shall be referred to arbitration under the Pakistan Arbitration Act 1940 (as amended), or to the courts identified in Section 15, at Vyntro's option. EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Changes to These Terms

We may revise these Terms from time to time. For material changes, we will provide at least 14 days' notice via email and an in-product banner. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.

18. Miscellaneous

• Entire agreement: these Terms (with the Privacy Policy, Cookie Policy, and any plan-specific addenda) are the entire agreement between you and Vyntro.
• Severability: if any provision is held unenforceable, the rest remains in effect.
• No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our consent. We may assign to an affiliate or successor.
• Notices: legal notices to Vyntro must be sent to legal@vyntro.ai with a copy to our registered office.
